Intellectual Property Transaction Counsel (Legal)

Intellectual Property Transaction Counsel (Legal) The candidate will report to Intellectual Property Senior Counsel - Enterprise Technology and will have responsibility for various cross-company intellectual property transactions including acquisitions, divestitures, technology collaboration, university, licensing, and related activities as well as the trademark portfolio and leadership reporting and communication functions. Will work on collaboration with enterprise and product line IP counsel, address technology agreement preparation and execution, draft, review and edit intellectual property-related terms and definitions for mergers and acquisitions, support due diligence and schedule preparation efforts as needed, as well as support licensing activities and other activities as assigned. Intake, drafting, review, tracking and reporting of technology collaboration and development agreements and related statements of work. Act as single escalation point for NDA issues and advice across the compan. Advise on and address global supply chain and additive manufacturing IP issues, including intake, drafting, review, tracking and reporting on collaboration agreements, clearances and vendor coordination. Assist with review of enterprise-wide M&A issues/agreements/due diligenc. Assist with clearance work for Enterprise Technology and Ventures & Growth project. Manage assigned patent and trademark registration docket. Address all trademark registration and clearance issues, including intake, advising, filing, and maintenance. Must have Bachelors degree. Must have Juris Doctorate degree or LLB from an ABA accredited law school. Licensed/eligible to practice law in Texas is essential. Licensed to practice before the U.S. Patent and Trademark Office is essential. Must have 6+ years intellectual property practice in patents, trademarks and transactions. Exceptional presentation and communication skills is essential. Excellent oral and written communication skills is essential. Experience with IP issues in mergers and acquisitions, including title, indemnity and licensing issues is preferred. Experience managing an assigned intellectual property portfolio including patents, trademarks, copyrights, and trade secrets is essential. Experience with the upstream oilfield business in general and oilfield service business in particular is essential.
