Senior Corporate Attorney - Commercial The candidate will be the primary point of contact for handling various contract negotiations and drafting, including contracts and other agreements to support the Companys Purchasing, Real Estate, Engineering, Transportation, Sales/Marketing and Finance areas. Will also be responsible for advising management on related matters and compliance with applicable laws and regulations related to such contracts and agreements. Handle multiple types of contracts and work with multiple departments. Works independently and in coordination with various internal business departments in drafting, reviewing, and negotiating contracts and related documents, including purchasing, shipping/customer contracts, and industry-related contracts. Provides legal support to Purchasing, Real Estate, Engineering, Transportation, Sales/Marketing and Finance areas as dictated by the needs of the departments and the direction of the Associate General Counsel. Provides interpretation to internal clients of required provisions for contracts ensure proper terms and conditions. Assists in the development, review, revision, communication and implementation of contracts templates to ensure proper terms and conditions. Ensures consistency of contract terms with company policies and goals as well as its Vision, Values and Culture. Provides oversight and review of all purchasing documents, including contracts, RFPs, Scope of Work, NDAs, etc. Provides internal support to various departments regarding contract disputes. Supervises and manages work performed by outside counsel on general litigation or legal matters requiring specialized responses. Communicates professionally and effectively with internal clients, General Counsel and Associate General Counsel regarding purchasing transactions, including advising business leaders regarding risk mitigation. Provides back-up and support for other members of the Legal Department as required. Assists the Associate General Counsel and the corporate legal team in all aspects of its corporate practice. Exemplifies firm Vision, Values, and Culture in each and every interaction with team, clients, and stakeholders. The candidate should have a Doctoral degree (Ph.D.) in Law. Should have 5+ years of law experience in a corporate or law firm setting. Must have 4+ years of experience drafting contracts or equivalent combination of education and experience. Must be licensed to practice law in any state, in good standing. Experience in the railroad or transportation industry preferred. Experience drafting procurement and commercial contracts desired.
