Corporate Counsel Duties: Provides legal services under the direction of the Director Legal & Compliance and with the guidance of other experienced attorneys, including legal advice, representation, and support to management and staff to facilitate achievement of the Institutes goals, while anticipating and managing risk. Initial responsibilities will include support of Nuclear Sector, foreign trade law (export control and FCPA) and international transactions with focus on Europe. Work allocation will evolve according to the needs of the business. Analyzes proposed contractual and licensing transactions in assigned areas of responsibility (including Nuclear and international work) and evaluates compliance with applicable law and policy. Reviews and drafts transactional and other documents within risk and operating parameters and in teamwork with other attorneys (including outside counsel, as appropriate), contract negotiators and other stakeholders. Provides advice and support on trade compliance matters as assigned, in particular export control and anti-bribery (FCPA) compliance. Participates on teams or internal corporate activities beyond specific legal area of responsibility (e.g., processes, policies, cross-functional problem-solving teams). Makes recommendations to senior attorneys or management on variance from standard policies and legal terms. Works on problems of complicated scope where analysis of situations or data requires a review of a variety of factors. Mentors others in the department and seeks out learning opportunities for the department.

Qualifications: Law Degree from nationally accredited law school (or foreign equivalent). Bar membership in good standing in the U.S. (CA, NC, TN, DC or NY preferred). 1-5 years applicable experience, preferably both in law firm and in-house (energy or research a plus). Experience with electric utilities, nuclear power or nonprofits a plus. Familiarity with international compliance issues (export control/FCPA) and international transactions (particularly with Europe) a plus. Experience with tax exemption laws applicable to scientific research organization a plus. Working knowledge of IP law (including patentability, patent infringement, protection of trade secrets, copyright, and software licensing). Experience drafting a variety of agreements (e.g., licenses, nondisclosure, procurement, sourcing, funding, etc.). Working knowledge of at least one foreign language pertinent to EPRI business in Europe (preferably Spanish or French) a plus. Strong legal drafting and negotiation skills. Familiarity with civil law jurisdictions or EU law a plus. Should be able to prioritize and juggle competing demands with occasional support from supervisor and more experienced attorneys.
