Corporate Attorney The candidate will review, draft and negotiate contracts relating to the companys business and commercial relationships, such as CDAs, master services agreements, distribution agreements, lease and sublease agreements, manufacturing and supply agreements, OEM agreements, clinical trial agreements, marketing agreements, consulting agreements; Provide legal advice to internal teams on contract matters, including transaction structuring, contract interpretation and enforcement, risk assessment, legal and regulatory compliance and corporate policies; Coordinate and assist in developing policies, procedures and systems to support and facilitate efficient contract development and analysis; Monitor the legal environment and trends concerning the contracts areas; Manage outside legal counsel regarding contract matters; Train and guide business teams on the use of contract templates, relevant legal issues, and good contracting practices; Determine, implement and manage contract management tools and other technology adopted by the Legal Department. Help ensure the contract repository is accurate and up to date; Generate reports, presentations, spreadsheets, memos and other documents for the Legal Department, clients and/or the senior management team; Complete special projects such as collaborating on department-wide or company-wide initiatives; Provide expertise to clinical research organizations and pharmaceutical clients to develop localized contract templates and optimal jurisdiction-specific contracting processes; Engage with multiple client stakeholders to develop key relationships and ensure that executed agreements accurate reflect and advance client legal, clinical, compliance, and financial priorities; Partner with CRO and Sponsor stakeholders to identify site, country and study-specific contracting intelligence and risks to clinical trial start-up, and developing risk mitigation strategies; Review and negotiates special agreements, including ICFs, master agreements, and site financial agreements in advance of full contract negotiations when included in the scope of activities by the client; Accurately plan to achieve fully executed contracts in a timely manner.

The candidate must have Juris Doctor (J. D.) from an ABA-accredited law school. Current, active admission to any state bar required. Must have 5+ years of progressively responsible experience including significant experience reviewing, drafting and negotiating contracts. Corporate contract and service agreement experience a plus. Prior law firm experience strongly preferred. Biopharmaceutical industry with a 3+ years clinical contracts experience required. Should have advanced skills in latest software programs such as Microsoft Word, Excel, Outlook, and Adobe Acrobat. Experience implementing contracts processes and technology solutions a plus. Experience preparing legal documents, reviewing company policies and litigating matters regarding intellectual property a plus.
