Corporate Attorney The candidate is actively engaged in the provision of legal services throughout the Company, with primary emphasis upon commercial contracts and real estate matters. Will serve as the subject matter expert on all real estate matters and will play a pivotal role in helping to review and/or draft commercial contracts and to improve contracting processes. In addition, this position will participate as needed in due diligence acquisition reviews, international legal support and general compliance initiatives. Reports to the Assistant General Counsel (AGC). Subject matter expert on all real estate matters within the Company. Key responsibility for reviewing and drafting commercial contracts including but not limited to: manufacturing, distribution, services, licensing, technology and related areas (limiting reliance upon outside counsel only where necessary and with AGC approval). Responsible for assisting with development of contracting process including a standard contract library, clauses and playbook. Assists with development and implementation of compliance programs and their associated policies, guidelines, FAQs and training materials. Assists with Companys efforts to organize recordkeeping of key assets such as contracts, leases, and policies. Stays current on tobacco and any tobacco-related legislation and regulations. Supports the Companys participation with industry groups and associations. Provides legal support for new product development and international expansion efforts as needed. Maintains strict confidentiality of sensitive company documents. Occasional travel may be required and necessary to support business objectives. Performs other duties as assigned by Assistant General Counsel.

A Doctor of Jurisprudence (J.D.) or equivalent degree is necessary. Must be licensed to practice law in a U.S. jurisdiction. 3 years working in a corporate legal environment is highly preferred. Experience with typical commercial real estate matters is required. Experience with commercial contracts is required; relevant experience with manufacturing, distribution, services, licensing, technology and related areas is strongly preferred.Experience working with federal and state agencies in a regulated industry such as tobacco, alcohol, medical or pharmaceutical industries is preferred; equivalent combination of experience may be considered. Experience with an array of different business models within a single organization such as direct-to-consumer, franchising, dealerships, online retail, resellers, distribution networks, etc. is a plus. Some experience with environmental laws associated with manufacturing/distribution facilities is a plus. Must pay attention to detail and work independently using sound judgment, legal research and organizational skills. Must have excellent interpersonal, verbal, written and presentation skills. Must have proficiency with computer skills (such as Microsoft Office suite); experience organizing, maintaining and protecting key company records is required.
