Corporate Counsel The candidate will support the General Counsel and Associate General Counsels in managing the legal affairs of the firm's Rigid Plastics business, including responsibility for one or more areas of legal specialization. Will supervise outside legal counsel in connection with projects, transactions and litigation. To provide legal advice, counsel, and representation in order to protect the companys interests and operations under the law. To assist in the management and execution of Corporate Secretary duties, to ensure that Corporate Governance and Compliance processes are carried out, and to execute those additional tasks as directed by the General Counsel and Associate General Counsels. General responsibility for legal matters within assigned Business Units and geographies. Identifying and analyzing legal issues, drafting key documents, presenting clear recommendations and assuring legal compliance in the areas of: Contract and Commercial matters; Real estate leases and other real estate related matters; Procurement matters, including transportation; In-house supervision of outside counsel for general litigation; Coordination with HR on employment-related issues. In-house assistance in understanding and managing intellectual property, primarily patents, including licensing. Plans, manages, and directs the provision of legal advice counsel, and representation (both internal and external) in order to protect the companys interests and operations under the law. Assists in developing and conducting preventative law programs for company employees. Ensures organizational compliance with laws, regulations, and industry and company policies. Negotiates and drafts documents or deal-specific clauses in written agreements entered into by the organization with outside vendors, suppliers, consultants, etc. Evaluates and provides advice on the legal risk associated with business opportunities. Manages and directs outside counsel through the litigation process. Ensures proper record keeping of important company documents. Specialty areas requiring specific expertise. Cooperation and assistance as needed. Transactional activities. Development of departmental information management capabilities. Value Plus and Procure Plus initiatives. The candidate should have JD degree , along with 2-3 years of experience as a Generalist in corporate law (contracts, commercial mergers & acquisitions, licensing, real estate, negotiations, litigation management, etc.). Must be a licensed member of the Bar, in good standing, and meet the requirements of the Michigan Rules of Professional Conduct for the practice of law in Michigan. Must have strong problem-solving, communication, negotiation and presentation skills and the ability to think strategically.
