Corporate Legal Counsel The candidate will provide Senior Management with effective advice on company strategies and their implementation on a wide range of areas where legal issues arise. Corporate Legal Counsel manages the legal and compliance function, and obtains and oversees the work of outside counsel. Will be directly involved in complex business transactions and negotiating contracts. Advises on a wide variety of issues, including commercial contracts, sales, marketing, supply chain, risk management and insurance contracts, M&A, and Human Resources. Draft, review, analyze, modify and negotiate a variety of complex agreements and legal documents, including sales, marketing and operations agreements. Interpret contract requirements, obligations and risk exposure and advise on the same. Support the continuous improvement of standard forms of agreement and legal processes. Being a trusted business partner, provide timely, thoughtful and helpful responses to requests from internal customers. Counsel internal customers regarding company policies, legal issues and risk tolerance. Assume ultimate responsibility for ensuring that the company conducts its business in compliance with applicable business process laws and regulations. Advise on legal aspects of the companys financing, including assessing and advising on current and future business structures and legal entities. Manage outside legal counsel relationships. Corporate secretary to Board of Directors. The candidate should have Undergraduate degree and Juris Doctor. Must have Active membership in Minnesota State Bar [or qualify for a House Counsel License]. Must have 10+ years of relevant legal experience including major law firm and in-house counsel experience. Must have high level of competence negotiating service agreements and supply agreements. Experience working with Private Equity ownership team preferred. Experience working on matters of corporate governance and with a board of directors is required.
