Healthcare General Counsel And Corporate Compliance Officer The candidate will oversee healthcare regulatory, risk management, governance, contracting, privacy matters and initiatives across the organization. Will advise senior management, work collaboratively with the Compliance, Credentialing, Finance, Human Resource, IT, and Operations teams. Serves as an independent and objective body that reviews and evaluates compliance issues/concerns within the organization. Manage day to day legal matters to support the business, including: agreements (e.g. general contract matters, including the drafting, negotiation and finalization of general contracts, commercial contracts, licenses, consulting agreements, business associate agreements, and service agreements), billing and claims matters, commercial insurance carrier relations, and HR matters. Investigate potential or alleged legal violations, clinical legal matters, employment legal matters, records information, and regulatory review of materials, regulatory support, government affairs, and corporate communications. Maintain corporate governance for the current affiliates (including corporate board matters, etc.) and establish governance for future affiliates (set up and establishing the legal entity and governance for all future affiliates). Provide strategic legal advice and support to senior leadership and corporate board, including legal implications and legal aspects relative to business practices, corporate strategies, regulatory compliance, and legal trends. Develop, implement and update legal and compliance policies, procedures and practices in coordination with senior leadership. Utilize outside counsel as appropriate to meet company goals and objectives. Most efficiently and effectively manage outside legal counsel and oversee litigation. Respond in a timely manner to legal matters; strong and effective communication with senior leadership and stakeholders. Provides reports on a regular basis, and as requested, to keep the Compliance Committee of the Board of Directors, the General Counsel, and senior leadership informed of the operation, progress and status of legal and compliance efforts and issues. Investigates reported or identified compliance/privacy matters received through independent surveillance efforts, reports through direct contact from others or through the Compliance Hotline system. Oversees all investigative processes including interviews with key witnesses or subject matter experts; identifies and coordinates corrective action and documents efforts in the compliance matters tracking system for ongoing reporting. Provides education and training to management, employees, departments, teams, physicians, contractors on key compliance/privacy matters and topics through written published materials, in-person presentations, small group discussions or e-mail communications as necessary to the topic in question. Responsible for the hiring, training, development and performance management of the corporate compliance team. Has the responsibility to lead and support the facility level compliance team in developing and improving compliance operations at each facility. Conducts audits or engages in monitoring activities to evaluate the ongoing compliance of key compliance/privacy risks as identified through the risk assessment process, government enforcement efforts, reported concerns, etc. Builds, maintains and fosters optimal working relations with senior and mid-level management, employees, physicians and contractors to ensure open lines of communication in support of a collaborative dialogue on compliance risk. Attends leadership/management meetings establish awareness of possible compliance risks and to serve as a trusted resource to all constituents on compliance matters. Serves as the primary contact for compliance/privacy. Assists in the annual compliance risk assessment process. Serves as the organization Privacy Officer and works closely with the IT Security Officer to monitor HIPAA risks. Must have Juris Doctor (JD) degree with a strong academic record. Should have 3+ years of attorney experience in relevant fields. Must have 3 years relevant healthcare industry experience preferred.
