Senior Corporate Counsel

Senior Corporate Counsel The candidate will support in drafting, reviewing and negotiating international and domestic commercial agreements. Examples may include purchase and supply contracts; vendor buying agreements; sales representation agreements; distribution agreements; master sales and service agreements; leases; non-disclosure agreements; and license agreements. Provide support regarding contract interpretation and guidance, including related to disputes. Provide legal support in drafting, reviewing and negotiating international and domestic construction agreements. Provide support regarding contract interpretation and guidance, as related to disputes and/or claims. Provide advice and counsel on a range of disputes, including third-party product liability claims, customer and vendor disputes, construction disputes, employment claims, and other issues, and assist with internal investigations. Assist in, prepare and present legal compliance and educational programs and work with compliance, internal audit, and other functional areas as needed. Provide legal support and analysis on regulatory and environmental matters. Analyze and communicate the impact of new laws and regulations on the business, and assess compliance and legal risks to advise the company regarding corporate risk management. Cost-effectively partner with and manage outside counsel as necessary. Assist in developing and overseeing the implementation of legal and corporate policies and procedures with members of the leadership team. Support the Legal Department attorneys in advising on other legal issues as they may arise. The candidate must have J.D. degree from a top-rated, accredited U.S. law school and licensed to practice in at least one U.S. state. Should have 7+ years of legal experience strong commercial background, with some generalist experience including exposure to litigation, corporate governance, employment, and antitrust law, some in-house experience required. 8 - 10 years experience preferred. Experience with negotiating complex commercial contracts, leading and handling sophisticated commercial transactions and a background in legal issues related to the (chemical and/or manufacturing) industry is preferred. Regulatory, litigation/discovery and privacy experience preferred. Must have proven experience in commercial and transactional matters. Should have working knowledge of Microsoft Office Suite Outlook, Word, Excel and PowerPoint.
