Corporate Counsel Duties: Lead the drafting and negotiation of a broad range of commercial contracts and provide cross-functional legal and risk management support to the organization. Negotiate and draft a broad range of commercial contracts, including, but not limited to, terms and conditions of sale, supply, procurement, non-disclosure, distribution and consulting agreements. Advise the company on day-to-day issues related to commercial matters, contracts, strategic initiatives and business processes. Provide advice and guidance to Company functional units on a broad range of legal and risk management matters, including, but not limited to, sourcing, logistics, insurance, tax, health and safety, marketing, sales, IP and R&D. Provide advice and guidance in connection with legal compliance matters, including, but not limited to, anti-bribery, anti-corruption, data privacy, antitrust, trade compliance and other ethical business practices. Provide advice and guidance in connection with the companys domestic and international business development activities. Provide advice and guidance in connection with the companys corporate secretarial activities, including, but not limited to, subsidiary governance globally and assistance with board of directors and shareholders meetings, minutes and consents. Bring full effort to bear on tasks assigned by manager. Give manager best advice. Give earliest notice when work cannot be delivered as specified. Cooperate and collaborate with peers and interact cross-organizationally as specified by manager. Exemplify Company Core Values: Integrity, Client Focus, Team Orientation, and Personal Commitment. Comply with all Company policies, practices, and procedures and all regulations and laws. Recommend viable improvements proactively. Ensure effective utilization of business tools and processes.

Qualifications: Bachelors degree or equivalent. JD Degree or equivalent via education and/or work experience. U.S. qualified lawyer with admission to practice in at least one state Bar. 2 years work experience in the corporate/commercial practice group of a law firm. Demonstrated successful working relationships with clients, suppliers, and other internal and external contacts. Demonstrated successful and positive personal leadership, interpersonal, organizational, administrative, and communication skills. Demonstrated continuous improvement in areas of responsibility. Proficiency in MS Word, Excel, Outlook, and an HRMS. Availability to travel, domestically and internationally, 10%, sometimes with limited notice. Preferred Qualifications: 5 years experience in the corporate/commercial practice group of a large law firm. In-house experience, including managing contracts and commercial functions. Experience managing contracts and commercial support staff. Experience working with multinational corporations. Experience drafting and negotiating cross-border, M&A, services, equipment purchase and sale, construction, project management and IP transactions.
