Corporate / In-House Counsel Duties: Work closely with the business units to learn and understand the business and associated challenges, opportunities and risks. Provide timely and high-quality legal services and advice to senior management on a variety of legal issues and maintain a proactive approach in helping to identify and minimize risks to the organization, while supporting the strategy and goals. Provide counsel to company personnel to ensure that decision makers are fully informed about potential risk factors as part of the decision-making process. Draft and/or review commercial agreements and other contracts, including construction industry contractual arrangements. Analyze, summarize and negotiate contracts and other transactional matters including construction contracts and subcontracts, real estate purchase and sales agreements, leases and bid documents, to minimize risk and satisfy company requirements prior to the execution of the contract. Negotiate and draft contracts with contractors, design professionals, and various consultants typically involved in complex projects. Representation of company in litigation and transactional matters arising from day-to-day operations consistent with company policies and procedures. Support and help foster the company s Incident and Injury Free Safety culture. Take a lead in-house role in defending ASI in a wide-range of litigation, arbitration and/or regulatory matters handled directly or with assistance of outside counsel. Engage, manage, and ensure quality of work performed by outside counsel involved in various issues regarding contracts in different jurisdictions, as well as specialized legal matters. Prosecute collections for construction related litigation. Prepare and advise on various teaming and joint venture agreements. Review and advise on risk management, indemnity, and insurance issues, including claim management. Monitor and help manage any claims against the company or by the company against others. Defend the various companies from commercial trucking related traffic offenses. Conduct research and analysis as needed.

Qualifications: Attended & graduated from an above average law school Licensed to practice law in the State of Michigan. 5 years litigation experience in the areas of collections, construction law and commercial trucking. Experience with defending commercial trucking related traffic offenses. Experience in employment law matters, preferred. Trusted and legal confidante in a corporate law department, law firm or closely-held family-owned business. Evidence of being detail-oriented with a strong ability to think and communicate strategically. Strong knowledge of privately-held company business issues and risks. Ability to work successfully with a range of people from peers, staff, leaders and other outside professionals. Strong leadership, verbal and written communication skills. Demonstrated strong project management skills. Strong research and analytical skills. Attention to detail and accuracy. Ability to manage multiple tasks simultaneously under tight deadlines. Ability to work independently. Excellent collaboration and diplomatic skills. Ability to anticipate areas for risk and issues and guide the company appropriately. Ability to break down problems and come to rational and well-though out conclusions. Interest in process improvement. Willingness to adapt quickly to quick changes in direction. Personal accountability for work and work product. Internally motivated to see out answers, generate ideas, and develop new skills. Ability to work well with all levels of staff as well as external customers. Self-motivated. Interest in the business and the construction industry.
