Corporate Counsel The candidate will interact with the EVP, General Counsel & Corporate Secretary. Will have visibility to other members of the legal department and executive management. Assist with our M&A activities from start to finish, including target analysis, due diligence, negotiation of acquisition and ancillary agreements, regulatory applications, SEC filings and closing and post-closing matters. Analysis and preparation of Board and Board Committee materials. Prepare, review and file proxy statements, reports (including 8-Ks, 10-Qs, 10-Ks and Section 16 reports) and registration statements with the SEC. Work on various general corporate and public company/SEC matters. Assist with annual reporting and entity maintenance for our various subsidiaries. Review and negotiate various contracts, including confidentiality agreements, employment agreements, leases and vendor contracts. Advise management at all levels with respect to various legal issues. Serve as a strategic legal partner and advisor to business teams. Coordinate and work on various corporate projects as determined by the SVP, Assistant General Counsel and other members of the legal team. Should have JD degree from an accredited law school and a licensed attorney in good standing with the Bar of the State of Illinois. Must have 3+ years of experience at a major law firm or an in-house legal department of a public company. Background with banks or other financial institutions preferred. Substantive experience in one or more of the following areas desirable: (1) real estate transactions, including negotiation of leases and related agreements, (2) employment and non-compete agreements, or (3) registered investment advisors.
