Counsel, Contracts The candidate will be responsible to provide legal support for a variety of firm commercial agreements across the enterprise, including both revenue generating agreements and procurement agreements. Areas of emphasis include e-commerce agreements, distribution and global sales agreements, intellectual property-related agreements, technology licensing and transactions (software licenses, agreements and partnerships), procurement (internal and franchisee), as well as a wide variety of other operational vendor agreements, marketing contracts, advertising, brands, firm Privileges/loyalty program, corporate communications, public relations and professional services agreements. Reviewing, analyzing, drafting and negotiating commercial and operational contracts, and partnering with business stakeholders to drive results including: Knowing and demonstrating the Legal Departments process and matching it with the business operations and objectives to provide effective, practical and value-added legal advice and solutions. Working with business stakeholders to implement feasible solutions that achieve business needs and provide appropriate legal safeguards within the four corners of the contract and implementation of the contract. Contracts Management Lifecycle and Corporate Compliance - Counsel is responsible for supporting the Legal Departments efforts to ensure company-wide compliance with internal and external policies, including: Aligning the contracts management lifecycle and contracts review procedures with corporate compliance efforts; Implementing process efficiencies to increase speed to market without compromising the quality of the Legal documents/response. Prepare, conduct, refresh and support compliance training sessions Provide training, mentoring and secondary oversight for junior members of Contracts staff including Contracts Paralegal and Legal Systems Administrator and Paralegal.

The candidate must have a Law Degree from accredited School of Law. Admission to MD State Bar or other State Bar is essential. 4+ years overall legal experience in a business/commercial law setting is needed; 3+ years practicing in a law firm or medium/large in-house legal department is necessary. Experience supporting sales teams and procurement teams is preferred. Must have relevant experience with routine and complex technology/software agreements and/or (non-patent) intellectual property licensing agreements. Experience with SaaS, ULAs, Cloud Computing, PCI, etc. is preferred. Relevant experience with commercial contracts including professional services agreements, supplier contracts and marketing agreements is critical. Industry experience in the hotel/hospitality/franchise industries (legal or business experience) is a significant plus. Excellent communication (verbal and written), drafting and negotiating skills are must.
