Senior Corporate Counsel - Acquisition Integration The candidate will be as a member of the Legal M&A Integration team, reporting to the Senior Director, Legal - Acquisition Integration. Will act as a representative of the Legal function in the planning and execution of acquisition integration and divestiture activities for acquired/divested companies and in aligning Legal resources with functional needs across company on a timely basis. For acquisitions, the successful candidate will help facilitate the use of acquisitions as a means for growing companys software, hosted and recurring revenue business models. The position will assist the Corporate Development Integration team in aligning acquired companies customer, partner and supplier business relationships with companys strategic goals. The position will work collaboratively and cross functionally to identify and resolve legal compliance, process and resource constraints affected by transaction value drivers. Assist in documenting legal dependencies to be included as part of companys corporate integration and divestiture methodologies. Act as the Legal representative for specific integration work streams. Participate in Operational and Legal Due Diligence for acquisitions, focusing on legal impediments to integration assumptions and plans. Participate in development of legal integration strategy for inbound and outbound contract migration. Partner with Business Unit attorneys, Contract Negotiators and Commodity Managers in executing that strategy. Assist in facilitating resolution of tactical merger integration and divestiture questions from throughout company. Coordinate with and advise Legal Integration Operations Function and broader cross functional Integration team leads. Work with Legal Acquisition Integration Lead and Corporate Development Integration team on improving integration and divestiture methodologies to account for Legal dependencies. Work with Legal Acquisition Integration Lead in defining, documenting and implementing processes for addressing recurring legal issues. will work as a member of the Legal Mergers & Acquisitions (M&A) Integration team and the Legal M&A deal team to support the Corporate Development Integration function, the integration of newly acquired businesses and products into company as well as possible divestitures.

The candidate typically requires law degree and 8 years of experience as an attorney. Must have experience with the following: Direct experience negotiating complex business transactions. 2-3 years legal experience supporting company Sales, Channels and/or Business Units. Experience supporting integration efforts as part of an acquirer or target a plus. Direct experience negotiating complex business transactions in a high-tech, distribution or direct sales environment. Should have In-depth knowledge of commercial contracts and business law. The ability to read and understand complex contract provisions is required. Should have the ability to draft language for inclusion in legally binding contracts. Must be articulate, demonstrate superior communication, negotiation, people and organizational skills, and be comfortable and confident in dealing directly with all levels of management. Knowledge of networking, service providers or software industries is a strong plus.
