Corporate Counsel Level III The candidate will be responsible for preparing and negotiating contract documentation with commercial clients of the company, principally financial institutions and sophisticated entities in the financial services and payments industries; will provide legal advice and counsel to business units within the company on a wide variety of issues that arise in the context of commercial contracts and information technology and payments services in areas that include software licensing, data security, privacy and regulatory matters; review, prepare and negotiate information and technology services contracts, software licenses, and other outsourcing and information services agreements for services and products provided to financial institutions and other business entities; perform legal research and analysis on commercial contract and information technology law issues, as well as software licensing, payment processing and payment services, including data security and privacy, technology development, and commercial services; advise business colleagues on legal issues relating to product development and compliance, and relating to various company products and services; counsel business colleagues in connection with client relationships, including commercial contract dispute matters.

The candidate must have a college degree; Must have a Juries Doctor from an accredited US law school; must be licensed to practice law in at least one US jurisdiction; Must have 8-10+ years in the practice of law in a high-quality law firm or in-house environment, and be a seasoned, experienced legal professional with a full understanding of corporate and commercial contract issues; must possess considerable knowledge of and experience with the principles involved in drafting information and technology services agreements, software license agreements, and general commercial contracts; must have strong analytical and advisory skills, including the ability to review and evaluate multi-faceted issues and counsel business colleagues on complex legal questions relating to various business matters, such as product development and compliance; must possess the ability to use creative problem-solving skills to resolve issues in a pragmatic and sound manner; must have strong communication skills, including the ability to communicate effectively, both orally and in writing, with senior management, outside legal counsel, and internal and external clients; must have strong negotiation and deal-making skills, including the ability to balance the companys goals and the clients needs, as well as the ability to deal with multiple parties with competing interests.
