Vendor Contracts Attorney The candidate will advise and support all aspects of routine and complex vendor transaction matters. Will create an effective vendor management framework. Also manage relevant global outside counsel relationships to do with the supported transactions work. Will report to the Corporate Counsel responsible for the firms securities work. Draft, review and/or negotiate all of the firms vendor contracts and amendments with limited supervision. Experience handling different types of contracts including to, the following: property leases; master professional services agreements; consulting contracts; financial services firm engagement letters; software licenses and subscriptions; subscriptions to online publications; IT support services; NDAs; staffing agencies, professional services vendors (translators, event security, event coordinator, etc.); office services; office furnishings; hotel/venue; catering; event vendors; guest speakers, etc. Familiarity with privacy laws and regulations, including the European Unions General Data Protection Regulation (GDPR) and its interplay with contracts involving the transfer of personal information out of the EU. Support and ensure completion by paralegal and administrative staff regarding obtaining authorized party signatures and proper filing and maintenance of all third party records. Develop a robust vendor management program for the firm. Assist the General Counsel and Enterprise Risk Committee in identifying, assessing, mitigating, managing and reporting vendor risk issues. Manage efficiently the use and costs of outside counsel, as approved by the firms General Counsel. Effectively collaborate with all internal key stakeholders across the firm. As relevant, train and develop attorneys, paralegals, administrative staff and relevant business stakeholders. Other projects and tasks as they arise from time to time.

A J.D. required from an accredited U.S. law school and licensed to practice in at least one state. Should have 5 years of experience in effectively managing, drafting, reviewing and negotiating various contracts. Experience with vendor management programs, committees and enterprise risk assessments is required. Must possess excellent verbal and written communication skills. Must exhibits sound practical judgment with a client-service and commercial orientation. Should have proven analytical and organizational skills with the ability to handle projects from inception to conclusion; subject matter expert with quality decision-making; and, fostering a collaborative team environment. Must have strong interpersonal skills and a positive work ethic.
