Associate Corporate Counsel

Associate Corporate Counsel Duties: Assist with a range of transactional matters, including the drafting and negotiation of complex agreements, with a significant focus on helping to support sales, marketing, operations, and clinical research functional areas. With supervision, participate in the review of marketing, promotional and scientific activities and materials for compliance with company policies and applicable laws and regulations. Support others in the Legal department in providing guidance and training regarding applicable laws and regulations, including assisting with analysis of relationships with healthcare professionals both in the US and abroad, compliance with anti-kickback and anti-corruption laws. Provide support for the analysis of various other relevant legal issues as they arise, including but not limited to pricing and reimbursement, employment, data privacy, and competition law. Participate in the delivery of legal training programs for internal clients on a variety of subjects. Qualifications: JD Degree from a top-tier law school and Bar admission required. 3-5 years of experience in a large law firm and/or in an in-house legal position with some experience drafting and reviewing agreements. Prior exposure to a medical device, health care, life science, or clinical diagnostics field is a plus. With supervision, capable of reviewing, negotiating, and drafting a variety of agreements, including commercial, vendor and supplier, research, nondisclosure, material transfer agreements. Reviewing sales, advertising, and marketing materials and programs as part of the Legal team to ensure compliance with applicable regulations and legal requirements. Excellent communication skills and the ability to interact positively with colleagues across all areas of the company. Pragmatic business sense with the ability to recognize commercial implications of legal advice. Assist others in the Legal group in providing legal advice to colleagues. Demonstrates polite and professional demeanor in all client, customer, and supplier interactions. Under the supervision and direction of others in the Legal team, effectively manages a substantial workload in a fast-paced environment. Must possess superior decision-making and interpersonal skills with a sense of professional discretion. Genuine desire to work in a global business environment that involves broad cultural variety, with a high level of enthusiasm for diversity of work. Willingness to undertake some travel, including international travel, in support of responsibilities.
