Legal Counsel - IP and Vendor Contracts The candidate will be responsible for working independently with all business units on a wide variety of complex legal matters. Support Senior Legal Counsel with: management of the global trademark portfolio, including domain names that are trademarks, from prosecution to enforcement; review of external communications for compliance with intellectual property laws and contractual obligations; provision of guidance on intellectual property and vendor contract matters; review, drafting, and negotiation of vendor contracts for a wide variety of goods and services being purchased by T. Rowe Price; software and data license audit; and special projects. Responsible for reviewing, drafting, and negotiating vendor contracts (including amendments) for goods and services primarily relating to services provided in the U.S., including cloud-based services, software and data licenses, general services, outsourced services, consulting services, facilities, construction, and real estate. Works with T. Rowe Price associates of varying levels of seniority from all areas of the company and outside counsel, as necessary. Adeptly and proactively identifies and escalates issues and provides risk-based, pragmatic recommendations and advice within strategic business conversations. Manages and facilitates internal contracts process, execution, and retention. Responsible for providing legal advice and counsel on issues arising from existing contracts, including compliance with contract terms, termination or renewal. Drafts termination letters. Advises and assists with negotiations to resolve contract disputes with third parties. Performs and assists in the evaluation of trademark and product name clearance searches; assists with preparation of trademark applications and related filings, including guidance on collection and review of specimens and other documents and materials; drafts correspondence on registration status and implications; monitors trademark deadlines and opposition proceedings; monitors and evaluates potential trademark infringements; drafts cease and desist correspondence; supports and assists with domain name acquisitions, recovery, and dispute resolution; prepares and administers policies and procedures for search, trademark and domain name application and registration, and enforcement. Reviews external campaigns, communications, and other submissions for legal compliance with all intellectual property laws (trademark, copyright, right of publicity) and related contractual terms (data and content licensing); analysis of content to determine whether material requires third party content clearance; draft and obtain third party content permissions; draft and administer policies, procedures, guidelines, and training for the same. Keep apprised of legal, legislative, and regulatory developments; analyzes their implications to the firm; and advises appropriate business units of such implications to ensure the firm s ongoing compliance with all applicable laws and regulations.

The candidate must have Law degree from accredited U.S. school of law. Should be Member of U.S. State Bar. Must have 3+ years of related work experience after the date of bar admission. Must have in-depth specialized knowledge of the review and negotiation of technology contracts, cloud-based services and migration, software and data licenses, maintenance and support and consulting agreements, and other similar business arrangements and contracts. Must have in-depth basic knowledge of U.S. intellectual property laws (at least trademark, copyright, right of publicity). Must have familiarity with U.S. privacy/data protection terms required or customary in vendor contracts involving personal data or the ability and willingness to acquire such knowledge. Should have strong writing, verbal, and communication skills. Must have strong analytical and problem-solving skills. Should preferably have 3 5 years of relevant experience since the date of bar admission in both private law firm and corporate legal department setting. Familiarity with financial market data licensing a plus.
