Corporate Counsel Responsibilities: Provide legal support in evaluating, advising on and handling corporate securities and SEC reporting and compliance matters, including SEC periodic reports, proxy statements and registration statements. Provide legal support for all aspects of financing and business development transactions. Provide advice regarding executive compensation, equity and benefit plans. Prepare materials for the Board and its Committees, including drafting minutes, policies, plan documents and additional materials, and helping to ensure compliance with applicable corporate governance requirements. Assist in planning annual stockholder meetings. Support insider trading compliance program, including advice on trading windows and 10b5-1 plans, providing clearances for trading, and ensuring compliance with Section 16 filing requirements. Assist with a variety of other in-house legal matters, as requested by the Senior Vice President & General Counsel.

Qualifications: Bachelor's Degree required. JD degree from ABA accredited law school required. 5+ years of relevant experience in securities law (33 and 34 Act) and SEC reporting matters and corporate governance issues. In-house experience (particularly at a pharma/biotech company) and experience at a law firm with a sophisticated securities and corporate governance practice is preferred. Proven ability to identify emerging risks and trends, analyze and think strategically about complex risk issues and deliver solutions-oriented advice and solutions to mitigate or manage such risks. High personal and business ethics. Excellent written, oral, and presentation skills. Proven ability to work with all levels of management and the general workforce. Strong customer service and problem-solving skills. Demonstrated ability to partner effectively with others in addressing complex issues. Strong influencing skills and business judgment. Strong organizational and time management skills. Motivated, self-starter with ability to appropriately prioritize issues and allocate resources. Strategic, innovative and detail-oriented.
