Managing Counsel, Insurance Regulatory DUTIES: Provide advice and support on design, interpretation, operation, maintenance and administration of various aspects of sponsored insurance offerings for its clients and worksite employees, including tax-qualified and non-qualified retirement plans, deferred compensation plans, fringe benefit plans, group health and welfare benefit plans and workers compensation plans. Ensure compliance with statutory and regulatory requirements for sponsored insurance offerings (including all applicable requirements under ERISA, HIPAA and COBRA and various other state and municipal statutes) and engage with various regulatory agencies in response to audits, requests and other escalations. Monitor changes in law and other developments relating to regulation of insurance and provide timely advice and guidance to Insurance Services and Finance groups. Provide ongoing, day-to-day legal guidance and support to members of the company s Corporate and Client Focused HR and Benefits teams on all insurance and employee benefit matters for the company s entire workforce, including both corporate employees and worksite employees, including serving as a point of escalation for information requests or complaints. Assist with responses to regulatory inquiries and ERISA plan participants claims for benefits and appeals from adverse claims determinations. Provide counsel for benefits issues related to mergers, acquisitions, divestitures and restructurings, including assisting the benefits team in conducting due diligence, evaluating plan-related risks and managing post-transaction plan integration and administration. Review, evaluate and assist with the negotiation of agreements with third-party administrators and benefit service providers. Review, evaluate and oversee production of, benefit plan documents and participant communications, including SPDs and SMMs. Review and advise on annual required disclosures for employee benefit plans, including IRS 5500 reporting and any other tax filings and required ERISA disclosures. Manage and oversee insurance policy rate and form filings. Provide counsel to business leaders to ensure a broad perspective is taken in our business decisions compliance by design cognizant of all elements of the regulatory environment in which we operate. Manage outside counsel relationships as engaged to support the above-listed responsibilities.

QUALIFICATIONS: Bachelor s degree or equivalent combination of education and experience. Law degree (J.D. or equivalent) and bar admission (California or New York preferred). 15+ years of major law firm or in-house experience in the insurance industry. Experience handling insurance regulatory matters and demonstrable experience in one or more of the areas of responsibility. Experience working directly with C-Level executives and board committees. Experience engaging directly with government agencies responsible for administering insurance, employment, and healthcare laws, such as: Department of Labor, Internal Revenue Service, Department of Health and Human Services (Office of Civil Rights), and state insurance agencies. Deep subject matter expertise in most or all of the following areas: group insurance (both fully insured and self funded), employee benefits, medical insurance, reinsurance, worker s compensation insurance law, ERISA, HIPAA, licensing, reinsurance and broker issues. Experience working in a HR Outsourcing/PEO environment a plus Other Knowledge, Skills and Abilities:. Experience effecting change in organizations that have undergone significant growth and transformation. Ability to take a strategic view while at the same time feeling comfortable dealing with complex technical issues and details. Experience improving service levels, reducing costs, and driving appropriate standardization. A proven track record of consistently working to identify ways to raise standards, simplify or eliminate work, and bring clarity to communication of regulations and the resulting implications. Experience rolling up his/her sleeves  when required and will enjoy taking ownership of certain critical tasks and functions rather than simply delegating. Experience influencing internal decision-making processes as a result of functional expertise, but also from demonstrating leadership and initiative. Experience working collaboratively with the ideas of others while influencing decisions, breaking down organizational boundaries through said collaboration and cross staffing by building strong relationships based on trust with peers. Creative thinker with the ability to rapidly understand the business objectives and present solutions. Excellent oral and written communication skills. Strong public speaking skills. Ability to initiate process improvements. Must be detail oriented. Strong interpersonal skills and ability to work professionally with employees at all levels of the organization. Ability to prioritize and multi-task in a timely and efficient manner. Ability to effectively meet customer needs, taking responsibility for customer satisfaction. Ability to maintain effectiveness and professionalism when experiencing change in work tasks and/or the work environment. Ability to work well under pressure and maintain flexibility in a fast-paced environment.
