Senior Corporate Attorney, M&A, Corporate Finance The candidate provides legal services for the Utility Operations segment of company North America under the supervision of the General Counsel. Provides ongoing legal advice and representation in a wide variety of areas involved in the Companys ongoing operations, including the following: contract review and negotiations, regulatory, real estate, permitting, environmental, water supply and allocation, water quality and corporate transactional matters. Serve as the leader and supervisor of the Legal Departments Utility Operations professional service team with direct reporting and responsibility to the General Counsel on personnel matters, resource prioritization, and service level standards. Draft, review and negotiate a variety of contracts for matters relating to the construction of major facilities, the provision of various services to the Companys utility subsidiaries, and wholesale water and wastewater agreements. Negotiate favorable legal terms in contracts, with a goal to protecting the Companys financial interests. Provide advice to Company personnel regarding rights and responsibilities under contracts and assistance in enforcement of contract rights. Monitor select regulations, circulate relevant proposals to various departments for comment, draft and file comments with subject agencies where necessary, and inform personnel of relevant rule adoptions. Upon request of Company management, provide advice on the legal implications of proposed and newly enacted legislation affecting the Companys regulated utility business. Provide legal services to support Utility acquisitions and divestitures, including agreement review and negotiation, participation in due diligence, preparation of memoranda outlining legal risks, and preparation and review of documents required for closing. Provide legal services to support administrative proceedings relating to environmental matters and water and wastewater permits, including filing comments with environmental and municipal agencies concerning proposed activities by third parties that may affect the Companys operations. Respond to inquiries from internal management. Contribute to management decision-making by providing research, legal memoranda, counsel and advice on legal matters. Keep the General Counsel informed of complex, sensitive and/or material matters and seeks her counsel on matters requiring attention. Maintain professional standards and expertise throughout membership in bar associations, review of legal publications and attendance at relevant CLE seminars. Travel up to 40% (mainly local travel).

The candidate Should have law degree from a U.S. accredited law school. Must be admitted to practice in New Jersey or New York, preferably both. Will consider other bar admissions if NJ limited license for in-house is obtained. 10+ years experience in corporate law, M&A, contracts, utility, real estate and/or environmental law is required. Should have experience with the legal and operational aspects of various areas of water and wastewater operations. Must have experience working with government and regulatory agencies. Law firm and/or prior in-house experience is required. Should have excellent interpersonal, oral and written communication skills, sound judgment, precise analytical skills and the ability to work independently. Must have advanced capabilities with Microsoft Word and other Office Suite programs, software applications used in legal work, and strong legal research skills.
