Senior Corporate Counsel The candidate will provide strong leadership and legal advice on a broad range of securities matters, including NYSE and ASX listing standards, SEC periodic filings, IR communications, capital markets transactions, and other general corporate law issues. Provide legal advice on listing standard and SEC securities topics, including analysis of firms position as a foreign private issuer. Serve as legal lead for the companys periodic SEC filings, including 10-Ks, 10-Qs, 8-Ks, and proxy statements, partnering closely with key stakeholders such as Investor Relations and Finance. Collaborate with Communications and IR teams on external communications such as earnings and press release. Serve as legal lead on capital markets transactions, providing advice and counsel on projects such as credit facilities and stock repurchase programs. Provide legal support for the Companys stock administration department, including providing advice related to the Company LTI, profit sharing, and 401(k) Plans. Work closely with the Corporate Secretariat team to advise on corporate governance, listing and securities matters in supporting the public company and regulated entity governance process. Provide legal support for human resources on employee issues, including advising on FINRA filings related to employee issues. Support management of certain litigation, including developing litigation strategy, witness preparation and document production. Maintain and support US subsidiary entities, including recordkeeping, state filings, and implementing structural changes as needed. Provide legal advice on other corporate laws and regulations. Oversee and direct outside counsel as utilized to support corporate related legal effort. Carry out additional duties as assigned.

The candidate must have 15+ years of experience as an attorney within a law firm or public company. Law degree required. Should have admission to at least one State Bar. Must have excellent interpersonal skills with the ability to effectively interact with senior management. Should have ability to exercise excellent legal judgment balanced with business needs. Should have excellent verbal and written communication skills. Must have strong analytical, research, and problem solving skills. Should have strong organizational skills with the ability to prioritize and manage multiple projects simultaneously. Must have ability to maintain confidentiality. Should have ability to work with minimal supervision. Must have strong computer skills, including Microsoft Word and Excel. Should have knowledge of financial markets, financial markets function and the impact of economic figures and national/regional/global events on markets. Must have understanding of issues relating to market abuse and anti-money laundering.
