Corporate Counsel The candidate will provide commercial legal support and advise on legal issues associated with complex purchasing and/or procurement commercial transactions, and support negotiations with third party suppliers and vendors. In addition to strong legal and analytical skills as a commercial attorney, will possess excellent communication and interpersonal skills and an ability to interface with a broad range of senior business managers, executives, and other colleagues and professionals. Handle the day-to-day review, revision, and negotiation of procurement and purchasing agreements with third party suppliers and vendors of products and related services to achieve acceptable risk levels. Such agreement types include, but are not limited to, simple to complex product and/or service purchase contracts or transactions, distributor, reseller, subcontractor, transportation, LOIs/MOUs, NDAs, RFQs and RFPs containing terms and conditions, credit terms and conditions, and other procurement and purchasing agreements. Provide day-to-day legal counseling and guidance on a broad range of commercial matters to the North American Procurement and Product Marketing team. Analyze transactions and legal principles into practical, innovative, creative and workable solutions. Summarize and prepare risk summaries for review and approval by executive management. Provide guidance and leadership to the North American Contract Management Team on the review, negotiation and drafting of procurement agreements. Foster strong relationships with the various business segments and functional departments, and develop a deep understanding of their strategies and objectives to better serve their needs. Ensure that company form agreements and templates, as well as contract negotiation playbooks, and legal and business processes are up to date with respect to applicable laws/regulations and best practices. Manage commercial claims with in-house and outside counsel while minimizing cost and risk. Provide counseling to the business on commercial claims. Provide and develop preventative education and training in the areas of commercial law, firm's contract review processes and risk management. Collaborate with attorneys and paralegals, where applicable, on a variety of projects. o As part of the larger legal team, assist with the creation, implementation and enhancement of processes, policies and tools that are in place and creating new ones. Providing additional support to the firm's Legal team as needed.

The candidate should have JD degree from a reputable, accredited U.S. law school, and active U.S. Bar membership. Must have 6-10 years of in-depth commercial legal experience, combined experience in a major law firm and/or in-house legal department, with a focus on complex vendor, procurement or purchasing contracts or transactions. Must have extensive drafting and negotiating skills and experience, and deep knowledge and understanding of U.S. commercial law. Experience and knowledge of Canadian commercial law is a plus. High-level writing and drafting skills are critical. Real estate experience is a plus.
