Corporate Counsel, USA Duties: Provide oversight of and/or directly participate in reviewing, drafting and negotiating agreements with customers, partners, suppliers and others, including complex commercial contracts, confidentiality agreements and intercompany agreements, letters of intent within the USA in close collaboration with the Commercial Department and other internal business groups. Assist and provide in developing legal standards, provisions, guidelines and general legal counsel to enhance the business and create legal efficiency in a collaborative and constructive manner. Work with Energy and Industry Legal Counsel and General Counsel and Corporate Legal team to respond to inquiries and meet deadlines as required, follow required processes and policies, and ensure alignment in corporate communication and reporting. Handle pre-litigation claims relating to operations. Manage outside legal counsel and litigation support professionals on assigned corporate litigation matters; act as a central point of contact for Senior Management on all cases. Overall control of expense management for external counsels. Possess and maintain subject matter expertise on essential laws and regulations on essential laws and regulations affecting oil & gas operations. Identify and advise on regulatory and compliance issues; Ensure compliance with federal, state and local regulations and Company policy at all times. Coordinate all Corporate duties such as drafting minutes and board resolutions, Corporate books, and other secretarial legal responsibilities. Partner with Operations, Commercial Management, Human Resources and other functional teams to implement procedures and processes that utilize legal principles to both mitigate risk and avoid litigation while achieving business targets. Provide advice to internal clients on legal and contracting issues. Provide guidance, training, coaching, and mentoring to managers including Senior Management; communicating effectively and collaboratively to ensure positive relationship building and an environment of learning. Must maintain a strong focus on cross functional teamwork with both internal and external stakeholders. Demonstrate excellent communication skills, professionalism, and promote a positive customer service attitude internally and externally. Follow and enforce the Company required safe work practices and procedures at all times; Enforce and abide the requirements of safe operation and personal safety using required Personal Protective Equipment and Safe Practices per Company policy. Provide assistance to the Human Resources Director as requested. Perform all other duties as assigned. Maintain a safe, secure, and legal work environment by ensuring all Company policies are being followed.

Qualifications: JD Degree required with strong academic record from a top tier national law school. Stable work history. Must be a good standing member of the State Bar of Texas or licensed to practice law in another jurisdiction with eligibility to timely join the State Bar of Texas. 5+ years of experience in a transactional practice at a top law firm and/or in-house. Prior in-house experience with global company preferred. Experience and familiarity in California and New York law and regulations preferred. Experience in the oil and gas service industry preferred. Knowledge of complex commercial contract terms and conditions such as limitation of liability, confidentiality and indemnification. Knowledge of US risk legal management and litigation avoidance for commercial activities. Ability to build knowledge in new areas of law. Ability to multi-task and properly execute multiple simultaneous assignments under pressure and tight deadlines. Ability to use logic and reasoning to identify the strengths and weaknesses of alternative solutions, conclusions or approaches to problems. Ability to rely on extensive experience and judgment to plan and accomplish goals. Ability to think strategically and to appreciate both the immediate and long-term business impacts of different legal courses of action. Ability to communicate and cooperate with diverse groups of people including Senior Management. Ability to solve complicated, detailed problems and find pragmatic solutions to complex business issues. Ability to work in a demanding, fast based environment with stakeholders located across different geographies. Ability to be a hands-on. Detail oriented, professional attitude, reliable. Must have excellent written and verbal communication skills and the ability to maintain confidentiality. People management skills including coaching, mentoring, and correcting behaviors in a motivating way. Willing to work with others, collaborating and compromising where necessary; promptly share relevant information with others. Maintains a positive can do  outlook, rebounds quickly from frustrations and unpleasantness, and maintains composure and friendly demeanor while dealing with stressful situations. Knowledge of the structure and content of the English language including the meaning and spelling of words, rules of composition, and grammar.
