Director of Legal Affairs & Senior Corporate Counsel Responsibilities: Lead the day-to-day operations of the legal department ensuring that daily matters and long-term projects are adequately prioritized, while taking into account the need to balance risk mitigation with business growth. Support the sales team by negotiating customer contracts and developing a deep understanding of the company s business to adequately balance risk and speed to close. Serve as a liaison with outside counsel in connection with international matters providing legal advice to leadership regarding international operations. Work with Human Resources and other departments as needed to implement policy and procedures that guide the workforce in their everyday operations and provide for proactive processes that are repeatable, measurable and defensible. Review, draft, negotiate, analyze and revise a wide variety of documents including software license agreements, service contracts, statements of work, non-disclosure agreements and vendor agreements . Advise and support senior executives and internal business units on legal issues including risk management, general labor issues, copyright, trademark, right of privacy and other product-related issues. Advise various internal departments regarding contract terms and implications on business operations. Develop creative solutions to meeting customer and the company s legal and business objectives to reach a mutual agreement. Understand and advise on government procurement laws and regulations. Manage department s annual budget.

Qualifications: Undergraduate Degree and JD Degree (from ABA accredited law school) and legal licensing in the State of Michigan. Admission to the Michigan state bar with an active membership in good standing. 5+ years of experience as an attorney in drafting, analyzing and negotiating software, professional services and IT contracts within a corporate legal environment. 7+ years of total experience as an attorney. Knowledge of terms, practices and procedures around software, professional services and IT transactions. Strong familiarity with corporate and business law required. Knowledge of GDPR terms and compliance. Financial aptitude and ability to understand business impacts of contract language. Excellent customer service skills with internal and external stakeholders. Strong communication (written and verbal), organizational, analytical and problem-solving skills, along with attention to detail. Demonstrated ability to multi-task and meet tight deadlines. Team player with the ability to work independently and keep cool under pressure.
