Corporate Counsel The candidate will be responsible for providing legal services and advice to the companys constituents and working with teams throughout the company, primarily on transactional matters and projects. Provide proactive and reactive legal services and advice to the Company and its affiliates and constituents (Sales, Finance, Marketing, HR, Security, Management, etc.). Provide support, advice and services to Company team members on legal, commercial and strategic matters. Draft and negotiate agreements with external parties, including customers, resellers, contractors, vendors, partners, technology owners, service providers and others. Advise and assist internal clients in creating, licensing, protecting and commercializing intellectual property in alignment with the Companys goals and strategies, to further develop and strategically manage and help protect the Companys intellectual property to optimize its value, differentiate the Company in the industry and marketplace and to support the Companys strategic direction and goals. Help guide the evolution and management of Companys legal format agreements, including for example the Companys SaaS services agreements, reseller and referral agreements, service level terms, trial and evaluation agreements, nondisclosure agreements, P.O. terms and conditions, independent contractor agreements, various employee agreements and others. Interface with outside counsel for external needs (contract negotiation assistance, employment, corporate law, patent/trademark prosecution, litigation, etc.). Assist with and coordinate the legal and regulatory aspects of strategic activity. Help to put processes in place to facilitate and streamline business and legal interactions and transactions, and assist with the development of relevant Company policies and procedures. Assist with subsidiary/affiliate formation and management assistance as needed. Participation and material involvement with dispute resolution. The candidate should have J.D. Must be admitted to the practice of law in either California or Texas. Should have 3-6 years as a transactional attorney, including time at a recognized law firm. Business focus and a strong client services orientation is needed. Must have excellent working knowledge and skill in various areas of business law with a transactional focus, namely, contracts drafting and negotiation, commercial law, licensing, intellectual property and corporate law. Should have excellent oral and written communications, the ability to operate effectively with diverse clientele, juggle competing demands and provide practical guidance and advice.
