Procurement/Contracts Counsel

Procurement/Contracts Counsel Responsibilities: Negotiate, draft and review contracts, including purchase agreements, software license agreements, leases, and service agreements. Evaluate the legal implications of contracts and provide recommendations to business clients. Provide general legal advice to corporate clients; manage and coordinate the ongoing legal activities of assigned areas; provide legal services and advice in connection with various legal and business projects. Recommend solutions and implement alternatives to assure compliance. Draft corporate documents; revise and maintain procurement contract templates and provide input on global templates Prepare training materials and present legal training to company employees. Manage outside counsel and provide back-up support for litigation management. Provide legal advice and support of records management policy. Perform legal research and prepare written legal opinions. Review applicable operating policies and practices to minimize non-compliance within the assigned area. Assist in drafting company policies, processes and procedures and support the policy process. Interface with domestic and global Law, Intellectual Property & Compliance colleagues. Qualifications: An undergraduate degree, JD Degree, admission to a Bar in the U.S. and 2+ years' work experience providing legal counsel relating to procurement or sales contracts. Preferred: An undergraduate degree, JD Degree, admission to the Pennsylvania Bar and 4+ years work experience (preferably a portion of which is in a corporate law department) providing legal counsel relating to procurement or sales contracts. Ability to influence clients on legal and business issues. A combination of business management skills, legal proficiency, and strong interpersonal skills. Ability to work independently and as a member of a team domestically and globally. Well-developed verbal and written communication skills. Presentation skills. Time Management and Project Prioritization.
