Corporate Counsel Responsibilities: Assists management on general contracts, third-party agreements and vendor supplier relationships. Drafts and negotiate commercial, contractor and confidentiality agreements, engagement letters and indications of interest. Ensures compliance with contract management procedures; ongoing support on drafting, negotiation and interpretation of contracts. Ensures compliance with claim management procedures; advises on claims as they arise. Reviews and advises on legal documents including software licenses, employment claims/charges, M/W/DBE contracts, law suits and disputes. Provides legal advice in compliance with all applicable federal, state and local laws, regulations and rules. Assists in the efficient use, management and evaluation of outside counsel. Liaises with parent company counsel, based in France. Manages litigation processes as necessary. Represents the Company as the Ethics Officer in all matters relating to the Business Ethics and Code of Conduct policy and program; responsible for maintaining corporate compliance. Advises Executive team on new developments in the law and proactively identifies problem areas to minimize risk. Negotiates workable solutions to complex and sensitive legal issues. Works with Executives and legal teams to resolve any project specific issues and to provide legal advice; maintains open and transparent communications and is willing to take direction. Performs other related duties as required and assigned.

Requirements: JD Degree from an ABA-accredited law school and bar admission in at least one state. Good standing in all states where admitted. 7 - 10 years of experience in a law firm or in house legal department setting, with a focus on contracts and commercial law. Strong attention to detail and the ability to multitask and work independently. Excellent legal writing and research skills. Ability to work with a wide range of personnel. Construction experience desired. Team player with ability to collaborate with cross-functional teams. Strong communication skills, reporting skills, analytical skills, negotiating skills, and organizational capabilities. Executive presence and a demonstrated ability to provide sound legal advice, exercise sound judgment, advise senior management and implement policies and practices in a fast-paced environment. Proficiency with Microsoft Office Suite, Word, Excel, and Outlook is required.
