Corporate Counsel The candidate will provide senior management with legal guidance on company strategies and their implementation, manage the legal function, obtain and oversees the work of outside counsel. Will be directly involved in complex business transactions and negotiating critical contracts. Work cross-functionally to identify risks and provide strategic, practical and creative legal and business advice. Participate in defining, developing and improving corporate policies, procedures, programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters. Serve as key lawyer/legal advisor on all major business transactions. Judge the merits of court cases filed against or on behalf of the company, works with the appropriate executive(s) to define a strategic defense and proposes settlements of disputes where warranted. Ensure that the company conducts its business in compliance with applicable laws and regulations. Oversee the selection, retention, management and evaluation of all outside counsel. Advise on legal aspects of the companys financing, including assessing and advising on current and future business structures and legal entities. Develop training and framework for employees to handle legal situations. The candidate should have strong academic credentials including a J.D. degree from an accredited law school with a national reputation and membership in one State Bar. Should preferably have 5-10 years of experience as a practicing lawyer, preferably initially with a prominent law firm before moving to an in-house position. Experience working on a wide array of business matters from corporate structuring, drafting contracts and agreements, review and negotiation of contracts and agreements, employment issues, litigation management, deposition preparation required. Exposure to mergers and acquisitions is needed. Understanding of insurance and risk management concepts is preferred.
