Capital Markets Counsel 3-Securities Origination Duties: Responsible for providing legal support in connection with securities origination transactions and related activities with focus on equities, including private placements under Regulation D and Section 4(a)(2). May also provide support for convertible securities and debt security origination businesses.

Qualifications: Active State Bar membership. 5+ years of legal experience with a major law firm, securities regulatory agency or in-house law department; including 3+ years of representing firms in capital markets and investment banking activities. Desired Qualifications: Excellent verbal, written, and interpersonal communication skills. Strong organizational, multi-tasking, and prioritizing skills. Strong analytical skills with high attention to detail and accuracy. Experience building partnerships and consulting effectively with leadership. Outstanding problem solving and decision making skills. Ability to execute in a fast paced, high demand, environment while balancing multiple priorities. Other Desired Qualifications: 3+ years of securities origination legal experience, preferably with extensive experience representing broker dealers on equity transactions, including registered and exempt offerings of equity and equity-linked securities such as initial public offerings, at the market (ATM) offerings, tender offers, convertible debt offerings. Experience with Regulation D and 4(a)(2) private placements strongly preferred. Federal and state securities law expertise, including familiarity with SEC and FINRA regulations relevant to capital markets transactions. An understanding of broker-dealer regulation, including sales and trading regulation would be helpful. An understanding of research business and related regulation would be helpful.
