Counsel- Corporate and Securities DUTIES: Help prepare SEC filings, including Form 10-K, Form 10-Q, Form 8-K, proxy statements and Section 16 filings. Assist with disclosure committee process and ensure compliance with Nasdaq listing rules and requirements. Assist in the coordination of board and committee meetings and provide legal support and governance advice on matters relating to board and committee best practices. Support Investor Relations and Communications teams, including drafting and reviewing press releases, earnings releases, investor presentations and other materials, advise on Regulation FD and address other analyst, media and communication matters. Assist and coordinate with equity administration matters. Provide legal support on strategic commercial transactions and acquisitions. Support business leaders, colleagues, and other stakeholders to recognize and manage risks, employ risk-mitigation strategies, negotiate strategic agreements, advice on regulatory and contractual compliance, and assist with operational matters. Present legal advice and data in a manner that supports accurate and timely decisions concerning the category and business strategy. Continuously develop understanding of legal risks and advise business stakeholders accurately of legal and other risks associated with proposed activities. QUALIFICATIONS: JD Degree from an ABA-accredited law school and current bar membership in at least one US state is required. 6+ years of securities and corporate law experience. Large law firm and previous in-house experience preferred. Publicly-traded global company, and animal health industry a plus. Excellent interpersonal and communication skills and experience in dealing with people at all levels inside and outside of a company or firm and proven relationship building skills. Goal and process oriented, with a demonstrated ability to prioritize tasks; experience and judgment to plan and accomplish objectives in efficient manner. Excellent communication skills, both oral and written. Team player with passion, energy and commitment. Excellent judgment and ability to resolve complex issues effectively. Strong analytical, negotiation, and drafting skills.
