Corporate Counsel Duties: Creates and ensures compliance with legal policies, procedures and controls to effect statutory, contractual and business requirements within assigned business areas. Develops and maintains training tools to create legal awareness among relevant business areas. Prepares and reviews various legal documents such as customer and vendor contracts, employee-related contracts, licenses, leases, sales, purchases, real estate, etc. Manages the companys intellectual property portfolio, including application for and maintenance of U.S. and/or OHIM registrations, copyrights or patents of products, devices, processes and trademarks of the organization. Collects information and evidence and provides audience-specific legal analysis for business decision making of management. Maintains an appropriate outside counsel network, engaging and managing the network as required. Conducts preliminary fact gathering and legal analysis regarding the advisability of prosecuting or defending lawsuit and management of external counsel for such prosecution or defense. Actively participates with management teams to understand legal needs of the business. Advises regarding transactions of business concerning internal affairs, directors, stockholders, officers, and corporate relationship with public. Delegates tasks to the Corporate Paralegal as appropriate and manages the Contracts Database.

Qualifications: A JD Degree from an accredited law school. Admitted to practice in the state of Oregon or Georgia. 7+ years working as Corporate Counsel in like-sized organization. Knowledge and experience with contracts and regulatory compliance in the software-as-a-service and payments industries in the U.S., the E.U., Canada, and Latin and South America. Ability to work cooperatively and collaboratively with executive staff and all other relevant personnel. Excellent skills in drafting and working with sales and account management to negotiate commercial contracts. Excellent oral and written communication, attention to detail, and interpersonal and customer service skills. Strong organizational skills and ability to prioritize and manage multiple demanding projects. Ability to work independently and display initiative, self-motivation and dedication necessary for timely and successful work completion. Demonstrated history of impeccable integrity, ethics and fair play. Self-starter and a team player that will thrive in a fast paced environment. High level of proficiency with MS Office tools.
