Corporate Counsel Responsibilities: Negotiate and draft a large number of complex SaaS transactions, including master services agreements, renewals and expansion transactions and a variety of other commercial contracts, including data processing agreements, professional services agreements, partner agreements, assignments, and amendments. Design and build legal processes to maintain and enhance growth as we scale. Manage contract documentation, execution and accountability with customers, vendors, and partners. Provide proactive strategic advice regarding business, legal issues, policy and regulatory risks. Analyze legal issues in emerging areas of law and provide effective guidance on complex legal matters including intellectual property, tax, compliance, and trademark. Manage relationships with outside counsel. Provide legal support to sales team on a broad range of commercial agreements in support of sales transactions, from NDA to execution of SaaS agreement. Partner with leadership team on internal legal operations including finances, real estate/leases, taxes, employment law, and fundraising. Provide vision, guidance and supervision to Privacy and Compliance program, including policy development, training, and operations. Contribute to company strategy as a member of the executive leadership team. Participate within Security, Privacy & Compliance council as the Compliance Officer, peered to Security & Privacy officers. Qualifications: JD Degree from an accredited U.S. law school and license to practice in Maryland. Demonstrated in-house experience, preferably with 3+ years focused on negotiating complex SaaS transactions. Working understanding of HIPAA and its applicability to business associates; deep understanding preferred. Excellent internal and external customer service skills with the ability to communicate respectfully with colleagues and clients. Strong inclination to collaborate amidst rapid change in a heavily regulated industry with complex transactions and liability issues. Mature judgment and impeccable integrity that allows you to conceptualize strategically while providing practical advice that balances risks with the overall business objectives. Ability to contribute both strategically and tactically to ensure details are captured and managed to ensure resiliency with changing business models, best practices, laws. Excellent analytical and written skills, with the ability to identify problems and develop solutions. Humility with the ability to recognize the limits of your own knowledge and proactively solve problems as a member of a team. Detail-oriented, with strong organizational skills and ability to manage multiple projects simultaneously under pressure. Experience in a SaaS, enterprise software, data privacy, or cybersecurity company is a plus.
