Corporate Counsel The Candidate will be responsible to draft, review and negotiate a wide variety of commercial agreements, US and international, including sourcing agreements, customer agreements, confidentiality agreement, leases and other general agreements. Engage with business, working closely, on drafting, negotiating and reviewing contracts. Prepare template agreements for a variety of commercial agreements. Create and implement policies and procedures for contract management and administration in compliance with corporate policies. Provide training to business units regarding contract management and administration policies and procedures. Assist with compliance and international due diligence protection efforts. Support corporate, securities, corporate governance, and M&A efforts. The candidate should have J.D. degree from an A.B.A. accredited law school and Member in good standing of Wisconsin or Minnesota state bar, or ability to become a member under either Wisconsins or Minnesotas in-house counsel rules with 5+ years of experience in drafting and negotiating commercial agreements involving licensing intellectual property, ideally with a focus on software and software as a service. Strong collaborative skills with the ability to lead cross functional teams through the disbursed, matrixed decision-making process to reach informed decision-making. Ability to interpret and comprehend complex legal documents and ability to convey complex legal issues in clear and concise business terms. Experience in managing risk while balancing the need to grow and sustain business relationships. Knowledge and understanding of working with customers, suppliers, distributors, vendors, subcontractors. Ability to prioritize work flow, work independently and efficiently. Strong and effective professional communication skills, both written and verbal. Strong attention to detail and follow-through and exceptional organizational skills.
