Corporate Counsel - Physician Integration The candidate will perform legal services for, represent and support CommonSpirit Health with regard to Physician Integration under the direction and supervision of the AGC, or his/her delegate, including, without limitation, matters related to support of the firm Medical Foundation, clinically integrated networks, accountable care organizations, and similar or related entities; physician contracting, including negotiation and drafting of professional services agreements between firm Medical Foundation and medical groups; physician recruitment; physician employment; business and non-physician contracting; corporate, commercial, physician and business transactions; loans and financing transactions; the formation, operation and dissolution of joint ventures and other business organizations; physician practice acquisitions; legal/regulatory and compliance; and licensure, certification and accreditation. Perform legal services for and support CommonSpirit Health, when and as appropriate or requested, on matters under the direction of the Legal Departments other functional divisions. Develop and/or enhance the Corporate Counsels expertise, and for the Corporate Counsel to be or become a subject matter expert, in specific legal, legislative, regulatory or health care topics, issues or arrangements relevant to Physician Integration or the other corporate functional areas supported by the Legal Department. Oversee and manage litigation, administrative proceedings and other regulatory (including licensure and certification) proceedings or matters arising out of or related to Physician Integration as requested or assigned from time to time, including the management of outside counsel engaged to represent CommonSpirit Health in the litigation or proceeding. Supervise, direct, manage and work collaboratively with the paralegals, executive coordinators, and other non-attorney staff assigned to work regularly or on specific projects with the Corporate Counsel consistent with CommonSpirit Healths Core Values. Develop and/or satisfy the Corporate Counsel Legal Competencies applicable to this Position Description. Support the Legal Department proactively, both internally within the Legal Department and externally throughout CommonSpirit Health, in the course and scope of the performance of the Corporate Counsels duties and responsibilities. Communicate frequently with the AGC on matters critical to the Corporate Counsels duties and responsibilities, the Legal Department and CommonSpirit Health generally. Maintain excellent relationships, work collaboratively and engage in regular communication with the GC, AGC, other Legal Department attorneys, paralegals, executive coordinators and other non-attorney staff. Manifest a commitment to CommonSpirit Healths Mission and Core Values, act and demonstrate behavior consistent with the CommonSpirit Healths Core Values in fulfilling the duties and responsibilities described in this Position Description, and contribute to a positive working environment in the Legal Department for all employees.

The candidate must have a Juris Doctor or equivalent degree from a law school accredited by the American Bar Association. Admission to the State Bar of one or more states in which CommonSpirit Health operates, and professional licensure in good standing without any instances of suspension, revocation, censure or other adverse events in any jurisdiction is necessary. Excellence in academic achievement is mandatory. 3+ years of legal work experience either with a law firm and/or in-house legal department involving the performance of legal services for medical foundations, clinics, hospitals, health systems, providers, health care delivery organizations, and/or integrated delivery systems is required. Excellent working knowledge and primary focus of prior work experience in the following substantive legal areas affecting formation and operation of medical foundations, clinics, and other physician employment vehicles (including applicable federal, state and local laws, rules and regulations) is essential: hospital and health care operations generally; health care business and corporate transactions, hospital/physician transactions, joint ventures, lending or financial transactions, and mergers, acquisitions and dispositions fraud and abuse, anti-kickback and physician self-referral (Stark law); clinically integrated networks, accountable care organizations, bundled payments, and similar alternative payment structures; legal compliance; physician recruitment; hospital-physician contracts; and non-physician and business contracts. Good working knowledge of the key operational and strategic issues and challenges currently affecting hospitals, medical foundations, health systems, providers, health care delivery organizations, and/or integrated delivery systems is must. Experience with navigating complex and dynamic corporate organizations is critical. Excellent written and verbal communication skills are required.
