Corporate Counsel The candidate will work closely with the General Counsel and Legal Department to manage compliance, contractual and risk management activities. Will be responsible for negotiating contracts and assisting in the companys contracts management process. Also work with our General Counsel to ensure that the company is always in compliance with Small Business Administration ( SBA ) and Government Contracting regulations and laws. Also review any labor and employment matters that arise and to the extent that any such matters arise, manage any litigation or potential litigation under the guidance of the General Counsel. Provide accurate legal guidance to the Company on all matters that affect the business as a corporate generalist and a federal government contractor. Advise on contractual, compliance, risk management, and legal services. Attend company meetings related to the status of any matters regarding future direction of the company, changes in policy, litigation matters, and labor and employment matters. Create/Amend contracts and negotiate agreements with business partners. Ensure that the company is in compliance with all current applicable SBA regulations, FAR, DFAR, and other applicable statutes, regulations, and licensing requirements. Handle claims against the company in pre-trial setting under the direction of General Counsel. Must be comfortable with being a generalist and working in several legal areas ranging from commercial contracts to Small Business Administration regulations to employment law to Government Contracting. As with any in-house attorney position, strong verbal and written communication skills and the ability to translate legal advice to business stakeholders is a must. The candidate should have J.D. degree with 5-7 years experience with preference for a combination of law firm, federal government or in-house counsel background. Bar membership in Virginia or Colorado (depending on location) or ability to be admitted as in-house counsel in the appropriate jurisdiction is required. Candidate with experience in federal government contracting strongly preferred. Experience in some aspect of contract management, compliance management, federal government contracting (including SBA matters), and transaction work including: subcontracts, teaming agreements, NDAs, consulting agreements or joint ventures is required. Must have ability to be a self-starter, work independently and be business minded in finding winning solutions.
