Assistant General Counsel - Middle Market Banking and Specialized Industries - VP

Assistant General Counsel - Middle Market Banking and Specialized Industries - VP The candidate will review and respond to Requests for Proposal from GHHN clients and negotiate final contracts and provide advice on exception approval issues. Will advise on lending and non-lending products sold by Commercial Banking with a heavy focus on core cash and liquidity products. Provide transactional support, including analysis and advice on structural and risk issues; review, negotiate and/or draft credit and collateral documentation; and non-standard confidentiality agreements; and tailor standard bank documentation forms for specific transactions and assist with client exits. Assist with various projects and initiatives to meet business, regulatory or operational goals and help the business address any compliance or audit concerns. Keep abreast of legal and regulatory changes, and comment on proposed legislation affecting products and services provided by GHHN and affecting GHHN clients. The candidate should have a J.D. degree. Must be a licensed attorney in good standing, with the ability to practice in-house and 5+ years of relevant legal practice experience. Should be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based or otherwise in compliance with the in-house counsel registration rules of that state/jurisdiction. Transactional experience with heavy contract negotiation skills and experience in delivery of core banking products and services for commercial clients. Some knowledge of Treasury services products, including experience in UCC Articles 3, 4, 4A, 8 & 9 and payment and clearinghouse rules required. The following knowledge and experience would be a plus: preparation of and responding to requests for proposals, particularly state and local government RFPs; public finance, credit and lending issues, commercial and real estate documentation; issues relating to state and local governments, including local procurement laws; letters of credit, direct purchase and other bond issuances; in-house counsel with a financial institution, government, not-for-profit, educational, healthcare or similar entity or outside counsel focusing on financial institutions law or public finance; and compliance, risk management or consulting experience.
