Associate General Counsel, Intellectual Property

Associate General Counsel, Intellectual Property The candidate will draft and negotiate complex commercial contracts including purchase agreements, terms and conditions, licensing agreements, development agreements, etc. Support various project-based legal assignments and initiatives working directly with business teams. Provide accurate and timely advice to internal customers on a range of legal issues arising from various commercial transactions, including employment matters, licensing/IP matters, leases, corporate governance matters, etc. Assist in preparing training materials on the companys legal and ethical policies. Assist in deployment and overseeing companys contract management system for all internal and external contracts. Provide support for any litigation or dispute resolution, as needed. Must have a J.D. degree from an ABA-approved law school, and an active member in good standing of Michigan Bar. Should have 8-10 years of corporate transactional experience, including experience drafting and negotiating transaction documents relevant to automotive industry. Must have experience in drafting, reviewing, and negotiating broad range of technology and software development and license agreements. Should have experience in providing legal guidance to internal teams on IP matters including areas of patent law, trademarks, trade secrets, and complex IP licensing arrangements. Must have strong drafting and negotiating skills in transactional settings. Should have ability to adapt to a fast-paced startup environment and be self-motivated to take ownership of tasks assigned. Must have strong interpersonal skills, along with the ability to communicate effectively with others at all levels of the organization. Should have strong legal research skills. Must have ability to work independently and with cross-functional clients.
