Associate General Counsel, Corporate The candidate will draft, negotiate and advise on a wide array of legal issues and contracts. Will focus on: supporting various business development initiatives, including licensing, collaborations and M&A initiatives; managing and strengthening the companys contracting function (including managing personnel responsible for the administration of electronic contract management system); and serve as a business partner to various functions by providing risk assessments and recommendations, interpreting complex contractual terms and negotiating myriad bio-pharmaceutical development and commercial agreements. Act as a business partner to internal constituencies, including business development and corporate affairs, providing solutions oriented legal advice that furthers companys business strategy. Assist with all legal aspects of transactions of varying degrees and nature across the company, including licensing, collaborations and merger and acquisitions. Lead legal due diligence initiatives relating to possible transactions. Draft and review as needed confidentiality agreements, engagement letters, term sheets, acquisition agreements and other deal documents. Lead the legal departments initiative to further improve the contract process, including identifying ways to strengthen the contract process and educating the business on contracts and the contract process. Supervise and manage the Contracts Administrator who manages the day-to-day aspects of the contract management system, including setting clear priorities and supporting negotiation of contracts. Prepare, review and negotiate agreements customary to companys general operating activities, including service agreements, confidentiality agreements, consulting agreements and commercial contracts, and advise internal business partners on the risks associated with the contracts.

The candidate should have an undergraduate degree from a college or university of recognized standing. Law degree with strong academic credentials required. Should be licensed in good standing to practice law in at least one state within the US, preferably Massachusetts. Must have 5+ years of experience focused on mergers and acquisitions, licensing and/or general corporate and securities law with 2+ years working in a law firm. Experience drafting and negotiating various types of contracts is needed. A combination of both in-house in a pharmaceutical company and law firm practice is ideal. Substantive M&A and licensing experience, international experience is valuable, with a demonstrated accountability for the deal cycle and negotiations is desired. Experience managing a contract process and/or contract personnel is an asset. Project management skills and experience with contract management software a plus. Experience with'34 Act filings, including 10-K, 10-Q, and proxy statements ideal.
