Commercial and Corporate Counsel The candidate will oversee the Companys general sales process on a global basis assuring consistency and effectiveness in sales terms and conditions and ancillary sales documents; maintain and update master agreements; adapt for use and enforceability in foreign jurisdictions. Prepare, review and negotiate commercial contracts, professional service and vendor agreements and other agreements relating to the operations of the Company. Prepare and administer intracompany agreements such as distribution contracts, technical assistance agreements, and other documents related to the intracompany flow of products and payment. Lead the integration of and drive process improvement initiatives to improve the companys preparation, review, negotiation and processing of contracts, including implementation of contract and document management systems. Provide legal oversight on corporate governance matters, including preparation of Board and Shareholder resolutions, meeting materials and policies on industry-specific issues, corporate governance and regulatory matters and assure compliance with the Companys internal operating procedures. In collaboration with local counsel, provide legal support for maintenance of several international subsidiaries, including overseeing annual filing and other compliance obligations. Assist in organizing and maintaining Powers of Attorney and other authorizations in multiple jurisdictions. Support strategic business transactions such as acquisitions, partnerships, planning and assisting in due diligence, drafting and negotiating transaction documents, and actively managing deal process and execution. Provide legal support on real estate and other business transactions and special projects. Work closely with the GC and AGC to formulate and drive department objectives relating to scope of duties. Oversee the development and implementation of sustainable systems and processes enabling the Legal Department to provide effective and efficient support for corporate and commercial functions. Ensure accountability of team members supporting these functions, including the quality and timeliness of advice and other work product delivered to business clients. Support the GC and AGC in selection, retention, management and evaluation of outside counsel as needed to support corporate and commercial work. Direct outside counsels time as it pertains to projects within purview. Drive for the outcomes needed, on time and within budget, on assigned projects. Support the GC and AGC in vetting and selection of outside counsel in new countries and territories. Contribute to budget planning discussions, and assists GC and AGC with monthly forecasting. Review company literature for compliance with law and internal policy. Develop strong knowledge of the commercial blueberry industry, including key relationships, major customers, intellectual property issues, political dynamics, and value points. Supports, perpetuates and enhances firms core values, mission, and corporate culture. Assure the highest level of confidentiality on sensitive matters.

The candidate must have a J.D. degree from an ABA-accredited institution. License to practice law in Oregon, ability to become licensed via reciprocity, or successfully pass the Oregon State Bar exam within one year of hire is required. Maintenance of CLE hours as needed for license is necessary. 4-7 years experience in a position that requires drafting of legal documents and contract negotiations is required while some private firm experience is preferred. Knowledge of intellectual property and business law is must. Experience managing and driving for results from outside counsel is mandatory. Familiarity with eContracts by OptimusBT is desired. Experience in developing budgets and managing expenses is preferred. Bilingual in Spanish is beneficial. Experience in cross-border transactions is critical.
