Director, Compliance / Staff Counsel

Director, Compliance / Staff Counsel The candidate will report to the General Counsel of the Americas Division and shall manage compliance and assist with legal matters across the division. Will lead the compliance work within the division. Help identify, manage and solve compliance risks, and advise on compliance topics. Design, develop, and continuously improve the division's compliance programs. Deploy Group and divisional compliance programs within the division, including anti-bribery, antitrust and export control. Primary responsibility for regular reporting on various compliance metrics and investigations. Develop risk management strategies. Advise divisional management and local business units on the implementation of - and adherence to - compliance programs. Draft, review and improve the division's policies and procedures related to compliance. Design and deliver compliance training to the employees in the division. Keep abreast of relevant regulatory developments across the division. Devise and roll-out a compliance system to increase awareness and promote a culture of compliance and integrity throughout the organization and regularly report to General Counsel and divisional management on the progress. Conduct investigations on compliance matters and regularly report on such matters to the General Counsel. Assist with anticorruption reviews. Continuously follow up on the implementation of compliance programs (Group and Divisional). Lead, coordinate, and manage ad-hoc compliance related projects and tasks. Coordinate with General Counsel, M&A team, and external law firms for pre-closing compliance due diligence, and manage post-closing integration of acquired entities on compliance issues. Assist General Counsel as requested on various legal matters. The candidate should have Juris Doctor degree and Bar admission. Must have 5 years of experience in compliance, preferably gained from working with compliance matters and compliance management, e.g. anticorruption, antitrust and export control regulations, in a law firm, as company in-house counsel or compliance officer in an international environment. Must have good knowledge of business operation and accounting. Good command of written and spoken English. proficiency in Spanish a plus.
