Senior Corporate Counsel

Senior Corporate Counsel The candidate will work directly with business leaders and the legal team to address the general commercial matters of our global education technology company. Most work will involve negotiation and approval of customer license agreements and vendor contracts, as well as corporate compliance programs. Act as primary legal contact for assigned business unit(s) and/or shared service organization(s), responsible for negotiation and drafting of agreements with customers, licensors, vendors, etc. Maintain a general focus in broad areas affecting ProQuest, such as anti-corruption, data privacy, import/export controls, intellectual property and/or employment regulatory compliance. Design, implement, and update legal aspects of Corporate Compliance Programs. Direct dispute resolution efforts as needed, including directing outside counsel in a variety of litigation matters and managing insurer requirements and budget costs as appropriate. Lead the legal team in the creation and management of standard forms and processes related to the ongoing development of best practices across the enterprise. The candidate must have Juris Doctorate degree and 8+ years of professional experience as an attorney. Member of State of Michigan Bar or reciprocal state Bar organization is essential. Must have outstanding business and legal acumen and Excellent oral and written communication skills. Experience in intellectual property licensing, SAAS, government contracting and/or the academic market segment is essential. Successful prior experience working in a global organization. Language skills beyond English is essential.
