Assistant General Counsel: Commercial Contracts/Money Center/Treasury Management The candidate will support the Money Center, a department within banks Corporate Treasury division. Sells fixed income products to institutional customers on behalf of the Corporate and Commercial Banking, Commercial Real Estate, Government Banking and Wealth Management groups. Products offered include certificates of deposit, Eurodollar time deposits, commercial paper, U.S. Treasury and government agency securities, money market mutual funds, sweep accounts and other investment alternatives. In addition, this role will include legal support for treasury management and commercial deposit matters across multiple business lines. Will report to the Associate General Counsel who serves as the team lead for the Treasury Management legal team. Responsibilities: Focus on the support and maintenance of existing products and services as well as activities related to product development strategy and initiatives, including creating product terms and conditions. Render advice to business line senior management, product managers, sales officers, and Operations and Implementation teams, on a wide variety of matters of varying complexity. Consult and collaborate with other attorneys in the Law Division to render subject-matter expertise. Create templates, custom agreements and customer communications, and negotiate non-standard bank documentation and revisions to standard bank documentation. Review and advise on high-volume and time-sensitive matters such as control agreements, banking resolutions, and all manner of account-related inquiries. Monitor and advise on legislative and regulatory changes, and updates to payments systems rules. Review RFP contracts for federal, state, and local government entities and quasi-governmental entities, and respond to RFP-specific legal questions and certifications.

The candidate should have law degree. Must be licensed in good standing to practice law in at least one jurisdiction. Should preferably have 6 years of experience at either a law firm or in-house corporate environment. Must have in-depth knowledge of commercial contracts, financial services and the operating environment of financial institutions. Should have familiarity or experience with securities law, government contracting issues, and with payment systems and cash management services, is an advantage. Strong contract drafting, negotiating, and issue-spotting skills are necessary. Must have ability to identify, evaluate and escalate legal risks and exercise timely independent legal judgment and discretion to reach an appropriate business and risk-oriented outcome. Ability to handle multiple tasks and prioritize work in a deadline-intensive environment is required. Should have excellent written, oral and interpersonal communication skills with the ability to effectively communicate at all levels of the organization, including senior business leaders, as well as with external constituencies.
