Associate Corporate and Compliance Counsel The candidate will coordinate with other organizational functions to convey the latest compliance laws, rules, regulations, and standards. Will be responsible for providing legal support to any compliance investigations and audits. Work closely with the senior management and human resources to evaluate and respond to suspected compliance violations, and for consistent enforcement, disclosure, and remedial action protocols. Review and draft legal documents and advice employees on legal and regulatory issues related to vendors, projects, and sales and marketing. Ensure the company exercises due diligence and sound internal controls to operate with integrity and protect against legal risk. Develop and document ethics and compliance policies and procedures. Provide advice on formation and maintenance of business entities including corporations, limited liability companies, and other joint venture arrangements. Work on acquisition and maintenance of contractor's license, business license, and other license required by regulatory agencies in various states or AHJs. Provide analysis and provide opinions on general corporate and governance matters related to a clients corporate structure, including inter-company mergers, consolidations, and other transfers or liquidations. Maintain a level of knowledge and staying abreast of regulatory change and industry development in all states where the Company operates. Provide preliminary legal review and research related to the Company's business expansion plans. Legal research and analysis of significant and/or unique contract requirements, special provisions and terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business unit process. Work in collaboration with other in-house attorneys and outside counsel. Other duties as assigned. The candidate must be an active member of the CA State Bar. Must have 2-3 years of experience as In-House Attorney/Transactional Attorney and 2- 3 years working experience on regulatory compliance, contract drafting and/or contract review. Must have a valid CA Drivers License/Insurance and the ability to drive a personal vehicle to attend hearings and other legal matters as needed. Bilingual Spanish and English is a plus. Must have excellent writing, research and analytical skills. Must maintain a working knowledge of advertising, consumer protection, TCPA and privacy laws such as CAN SPAM and TCPA compliance as well as data breach laws and breach notification letters.
