Corporate Counsel - Healthcare The candidate will report to the Chief Legal Officer. Will assist on a broad range of general corporate and commercial matters, with a focus on serving as the local corporate counsel for the healthcare industry related businesses within the portfolio. Work on a wide variety of healthcare and commercial contracting, corporate governance, litigation, employment law, etc. Serve as the local legal representative in the home healthcare and hospice portfolio companies. Draft and negotiate facility, nursing home and pharmacy agreements. Draft, edit and review vendor agreements and BAAs. Support compliance officer on compliance policies and best practices. Review risk/impact of operations during regulatory changes. Address State and CMS regulations. Support merger and acquisition activity, including due diligence and regulatory filings. Draft, review and negotiate a wide range of contracts, including leases and supply, service, procurement, consulting and confidentiality agreements. Provide guidance on employment related matters, including employment agreements, federal, state and local labor laws and disputes. Develop and implement processes for efficient and streamlined operations surrounding contract review. Serve as a liaison between cross functional teams and special projects. Work with portfolio companies to maintain contract management system and other databases. Assist with preparing board and stockholder consents. Draft organizational documents, including bylaws, shareholders agreements, limited liability company agreements and corporate resolutions. Supervise outside counsel as needed. Some travel required. Should have a J.D. degree and be a member of any State Bar preferably Texas. Must have 5-7 years of experience, with 2+ years of law firm experience and 2+ years of in-house experience. Healthcare Law background required. Prior experience representing companies in a full range of corporate transactions is needed.
