Corporate Counsel or Senior Corporate Counsel The candidate will work closely with Senior Leadership on contracts and all other corporate legal matters as well as act as a resource to others in the Legal & Compliance Department. Draft, and negotiate a significant volume of sales/revenue contracts. Guide Product teams and Business teams in standardizing contracts. Structure, draft, and negotiate complex commercial agreements with customers and partners, including technology-related agreements, professional services agreements, nondisclosure agreements and data sharing agreements. Respond to contract related inquiries and provide guidance as a subject matter expert. Perform legal and regulatory research in support of business initiative. Identify and evaluate contractual and legal risks of business opportunities and suggest alternatives that lead to optimal solutions. Work cross-functionally with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences. Work cross-functionally to develop commercial models (including defining and drafting the relevant terms and conditions). Establish trusted advisor relationships with the business leadership team and the sales leadership team and take on additional assignments and responsibilities, as needed.

The candidate must have 8+ years of related experience drafting and negotiating contracts in a large law firm or corporate legal department environment. Should have knowledge of business and corporate law. Must have excellent drafting skills. Should have ability to work in a fast paced and dynamic environment. Must have ability to effectively communicate with senior management, including translating complex technical and legal issues. Should have ability to manage and set priorities effectively. Must have strong business acumen. Experience with healthcare companies or companies within another regulated industry preferred. Knowledge of HIPAA member privacy and information security preferred.
