Litigation Counsel The candidate will provide litigation services for all company business activities with a primary focus on preventing and managing litigation, including landlord/tenant disputes, ADA actions, public access issues, contract disputes, construction claims, tort actions, and other litigation matters. Will provide assistance to the Associate General Counsel. Manage complex (non-personal injury) litigation filed throughout multiple jurisdictions, including reviewing pleadings, editing briefs, directing strategy with coordination with the Associate General Counsel, attending mediations, and coordinating business resolutions. Daily coordinate and oversee outside counsel regarding ongoing litigation, including budgeting matters. Draft and negotiate settlement agreements, deferral agreements, tolling agreements, amendments, NDAs, and other agreements. Draft demand and default letters and other pre-litigation communications. Negotiate with attorneys and business representatives regarding third party disputes. Coordinate with business representatives regarding ADA compliance. Address public access issues in CA, WA, and NJ. Respond to subpoenas and government inquiries. Coordinate responses to discovery in conjunction with outside counsel. Assist the leasing, development, and operations teams in interpreting contract language and avoiding lease violations. Review leases, amendments, letters of credit, and other legal documents in relation to disputes or to avoid litigation. Assist the operations teams in tenant and customer negotiations. Identify and discuss legal and business issues and assist the teams in resolving such issues in the best interest of the company. Provide advice to the leasing, operations, and development teams in the avoidance of legal disputes including client/tenant legal issues, tenant leases, insurance and risk management related matters, tenant defaults and other miscellaneous legal matters. Advise local property management staff on tenant operational/lease issues, landlord/tenant matters, collection activities, and other operational matters. Provide guidance and advice on legal aspects of leases, vendor agreements, construction contracts and other general real estate matters. Provide general legal support and litigation guidance to corporate and operational departments (e.g., marketing, management, procurement, IT, etc.) as necessary. Participate in the development and interpretation of company operating policies. Provide general legal services on other miscellaneous matters that may arise from time to time. Coordinate and oversee outside counsel to the extent necessary. Prepare and provide training sessions for employees on various topics in order to mitigate litigation risks and costs. Must be a member of the California State Bar in good standing with 5+ years of experience in commercial litigation, preferably handling real estate matters. Solid knowledge of real estate law is desired. Strong academic credentials preferred. Big law firm or in-house experience is an asset. Experience with REITs and/or real estate companies a plus.
