General Counsel/Contracts Director The candidate will provide senior management with effective advice on company strategies and implementation. Will manage the legal and contracts function and obtains and oversees the work of most outside counsel. Offers advice on issues like contracts, government regulations, mergers and acquisitions, and intellectual property. Protects the corporation from legal action and performs/manages its defense. Interprets legal documents and advises management on risk, impact, and/or options. Directs the activities of contract professionals including highly complex contractual arrangements of strategic importance to the company. Responsible for maintaining organizational compliance with appropriate regulations including Federal Acquisition (FAR), Defense Federal Acquisition Supplements (DFARS) and commercial laws. Works with internal stakeholders and external legal advisers as necessary. Reviews and approves accurate execution of Non-Disclosure Agreements, Teaming Agreements, Consulting Agreements, and Subcontracts. Serves as a central source of advice on all corporate governance matters. Oversee contract administration functions including contract repository, contract execution, and SAM registration. Identify and implement solutions to further Business Development and capture professionals in support of new business capture and partnership goals. Oversee formal contractual interface with the customer for contract management. Monitor compliance with contractual and agreement obligations and facilitate corrective actions. Provide oversight for negotiations with customers and subcontractors, of contracts and subcontracts, related changes, and claims to achieve agreement or settlement within approved boundaries. Request, review or approve amendments to or extensions of contracts. Monitoring legal, regulatory and business developments to identify areas of legal and compliance risk, advise senior management, and formulate strategies to mitigate or manage the risks. The candidate should have JD degree from an accredited law school. Must have 10+ years of experience with government contracts law, including FAR, DFARS, federal procurement statutes and regulations, and bid protest jurisprudence. Must have demonstrated experience in professional government procurement and contracting, which includes the drafting of complex contracts, including provisions, and solicitation documents. Must have experience working on matters of corporate governance and with a board of directors. Must have 5 years of experience managing a team. Must be Admitted and a member in good standing of the Virginia State Bar.
