Corporate Counsel The candidate will advise and manage legal transactions for senior global and corporate management and draw up legal documents as needed to facilitate business operations, including worldwide sales, commercial legal matters, intellectual property, compliance and ethics, corporate and civil law, antitrust and software licensing. Advise Worldwide Partner Sales Legal Team in the development and administration of channel programs, and serve as lead legal counsel. Draft, review, and negotiate a broad range of agreements including partner program, alliance, incentive, and other contracts. Provide legal advice to the worldwide legal department on liabilities, legal restrictions, and risks to various programs, business units, and transactions. Act as fiduciary and drive compliance in day-to-day sales activity, including providing legal training to sales professionals, drafting playbook guides, and coordinating with other groups within the Legal Department on compliance initiatives. Design and implement policies to ensure compliance with applicable laws and regulations. Ensure that contractual terms comply with corporate directives, policies, and procedures. Maintain knowledge of applicable laws, government regulations, and industry guidance that impact software, service, cloud, and mobility businesses. Manage outside counsel and lead projects within the Legal Department. Devise creative and practical legal solutions to meet business needs. In connection with the above duties, apply knowledge and/or skills of advising and assisting, in an in-house role, in commercial legal matters including global/multinational intellectual property, compliance and ethics, civil law and common law, antitrust, data privacy, cybersecurity, indirect and direct sales, litigation and dispute resolution; drafting, reviewing and negotiating legal documents related to information technology, including IT/professional services agreements, research and development (R&D) agreements, consultancy agreements, and procurement globally; providing legal support to Business Development and Intellectual Property (IP) departments to protect IP, assisting in and/or manage IP portfolio, and build global corporate policies for IP; creating global agreement templates and corporate global policies and procedures. Advising and assisting, in an in-house role, in commercial legal matters including global/multinational intellectual property, compliance and ethics, civil law and common law, antitrust, data privacy, cybersecurity, indirect and direct sales, litigation and dispute resolution; Drafting, reviewing and negotiating legal documents related to information technology, including IT/professional services agreements, research and development (R&D) agreements, consultancy agreements, and procurement globally; Providing legal support to Business Development and Intellectual Property (IP) departments to protect IP, assisting in and/or manage IP portfolio, and build global corporate policies for IP; Creating global agreement templates and corporate global policies and procedures. Law License from any State Bar is required.
