Corporate Counsel The candidate will be responsible for representing the Company on legal matters, preparing and drafting legal documents and providing advice on the Companys global products, services, features, platforms, initiatives, and terms of service and assisting in compliance matters. Will support General Counsel in managing a comprehensive range of legal matters. Review and analyze global products for compliance with laws and regulations. Developed business acumen, with ability to understand the company business, anticipate issues that could arise in various settings, assess risk, and provide practical, creative and concise business-focused advice and interpret business needs and translate them into legal documentation that match the intended objectives. Providing counseling and support to the business team on legal and policy matters, business negotiations, marketing services, and programs. Lead complex commercial, corporate and technology transactions in a fast-paced environment that places a strong premium on ownership, integrity, innovation, and teamwork, including drafting, reviewing, negotiating and advising on a variety of technology transactions (both inbound and outbound) including but not limited to licensing agreements, software development contracts, services and consulting agreements, non-disclosure agreements, master services agreements and statements of work. Helping to create and improve upon standard form agreements, best practices, and legal processes. Working with business teams to create corporate policies, forms, and procedures and ability to interpret and enforce company policies and procedures. Manage corporate governance and related compliance matters, including board support, annual stockholder meeting, annual reports, and developing and maintaining corporate policies, records and other governing documents to ensure compliance with applicable laws and regulations. Familiarity with SEC regulations applicable to publicly-listed companies, including direct responsibility for 34 Act reporting and related SEC filings, including Forms 10-K, 10-Q and 8-K, as well as the Proxy Statement. Provides legal advice on wide range of employment, labor and business matters; collaborating with Human Resources and key leaders on HR issues, investigations, immigration, offer letters, terminations, severance agreements, policy and procedures. Working knowledge of privacy, cybersecurity, and enterprise risk management and ensuring compliance with applicable legal requirements and company policies, including GDPR, CCPA, and Privacy Shield.

The candidate should have Bachelor's Degree and Juris Doctor from an accredited law school. Must be Member in good standing of Texas state Bar. Licensed to practice law in Texas, Required. Must have 3-5 years of corporate transactional experience at either a mid-size to large law firm and/or publicly traded company, with 2-3 years of direct relevant experience at a publicly traded company. In-house experience in a technology or professional services company is preferred. 3+ years experience with compliance/governance, data security, employment, ethics, employment relations, immigration, intellectual property and litigation is required. Demonstrated ability to draft documents from scratch  in previous experience is required.
